Portal Terms, Effective January 1, 2015.
Thank you for completing a registration to access the Portal provided by Westell
Technologies, Inc. ("Westell") available at support.westell.com. The Portal is offered
only to customers and partners of Westell. BY PROVIDING US WITH YOUR REGISTRATION
INFORMATION AND CLICKING "I ACCEPT" BELOW, YOU CONFIRM THAT YOU ARE A WESTELL CUSTOMER
OR PARTNER AND AGREE TO COMPLY WITH THE PORTAL TERMS BELOW.
If you do not agree, please exit the Portal.
1. Additional Terms. The terms of our PrivacyPolicy and Terms
of Use apply to your use of the Portal, and are incorporated into these
Portal Terms.
2. Registration Process. You confirm that the information you provided in your registration
form is complete and correct. Westell may request additional information before
accepting your registration. If your Registration application is accepted, you will
be issued a unique user name and password, and will be permitted to become a user
of the Portal, subject to your abiding by these Portal Terms. Westell will notify
you by email whether your registration is accepted and you will then be able to
access the Portal.
3. User Name and Password. You are responsible for all use of your user name and
password, and must protect your user name and password as follows:
a. Your user name and password may not be shared with any other person, and no one
else may use your user name or password to access or use the Portal;
b. Your user name and password must be kept confidential and must be protected against
being seen, copied or stolen by anyone.
c. If your user name or password may have been used, learned, seen, copied or stolen,
this presents a security issue and you should immediately report it to:
support@westell.com
4. Changes to Your Registration Information. If your employment or contact information
changes, you must provide your new information to Westell by updating your User
Profile.
5. Confidential Information. You will treat all information that you receive on
the Portal as confidential, and will only use the information to make product selection
decisions or provide services to Westell customers (the "Purpose"). You may make
a single copy only for this Purpose, which you may not share with anyone other than
(i) your customers; (ii) or colleagues who have a need to know the information to
purchase products or provide services to a Westell customer.
6. Termination of Access. Westell may terminate your access to the Portal immediately,
at its sole discretion and without notice to you, if you breach these Portal Terms
or if Westell has a reasonable basis to believe that a violation or breach is likely.
If you change employers or do not use the Portal for 12 months or longer, Westell
may terminate your access to the Portal. To reactivate your access, you must re-register.
7. Acceptable Use of Portal. The Portal may not be used for any purpose or activity
that may be illegal; may violate these Portal Terms; may cause harm to any person's
rights or property; might cause harm to individual or public health or safety; or
may interfere with the effective functioning of the Portal. By way of example, when
using the Portal, you may NOT:
a. Impersonate any person or entity, or falsely state or otherwise misrepresent
your affiliation with a person or entity;
b. Violate (intentionally or unintentionally) any applicable local, state, national
or international law, including any regulations having the force of law;
c. Upload, or otherwise transmit any material that contains software viruses, Trojan
horses, worms, spyware, time bombs, cancelbots, corrupted files, or any other computer
code, files or programs designed to interrupt, destroy or limit the functionality
of any computer software or hardware or telecommunications equipment; or
d. Intentionally interfere with or disrupt the Portal, or servers or networks connected
to the Portal;
e. Seek to obtain, view, copy, alter, destroy, use, disclose or transmit any information
you see in the Portal except as necessary for the Purpose.
f. Use any user names or passwords other than one issued to you by Westell to access
the Portal.
g. Use the Portal in any way that could damage, disable, overburden, or impair any
the Portal or interfere with any other party's use of the Portal or that otherwise
creates a material risk of harm to the Portal, Westell or any other participant
or third party.
h. Attempt to gain unauthorized access to any information, documents, records, accounts,
devices, systems or networks connected to the Portal through hacking, password cracking,
IP spoofing or any other means.
8. No Warranty and Limitation of Liability.
a. Westell will provide you with access to the Portal on an "as is" basis, without
any warranty of any kind. Westell makes no warranty or representation (i) regarding
the performance of or the results that may be obtained from use of the Portal; or
(ii) that use of the Portal will meet your requirements; or (iii) that the use of
the Portal will be uninterrupted, timely, secure or error-free. WESTELL EXPRESSLY
DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING, WITHOUT LIMITATION, ALL
WARRANTIES REGARDING LATENT DEFECTS, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR
PURPOSE.
b. Westell will not be liable under any circumstances for any direct, incidental,
consequential or special damages, including without limitation any lost profits
or labor costs, arising from the use of the Portal, from any breach of these Portal
Terms or from any other cause whatsoever, whether based on warranty, contract, tort
or other theory of liability.
9. Modifications. Westell may modify these Portal Terms from time to time, and will
present you with the modified Portal Terms upon your next use of the Portal for
you to review and accept. If you do not accept the new Terms, your access will terminate.
